Identify the registration action
Creating a Ukrainian legal entity produces an entry in the Unified State Register, the EDR. This differs from becoming a sole trader, changing an existing company’s activities or ordering an extract. Choose the intended legal form before preparing an application. Public associations and religious organisations have separate procedures.
Prepare the founders’ documents
Ordinary company formation requires an application, the founders’ decision and a constitutive document where the company uses its own charter. Ownership structure and ultimate beneficial owner information must follow the applicable procedure. Foreign founders, representation and formation through reorganisation can require further evidence. A checklist for a simple limited liability company is not exhaustive for every legal entity.
Agree the name, registered location, director, activities and participant details before signing. Tax treatment is a separate decision, although the registration form may include relevant requests. Check the consistency of the founders’ documents and the application.
A model-charter LLC through Diia
Diia offers a specific online service for a limited liability company using a model charter. Complete the form, select charter options and sign electronically. The relevant signatures of all founders are required. Automatic processing depends on verification of beneficial owner data; otherwise a state registrar can examine the application within a working day. This service does not cover every company form.
According to its official description, this Diia online service is available to Ukrainian citizens. An applicant who cannot use this route should choose an authorised state registrar and confirm the appropriate filing method.
Paper filing and territorial exceptions
Article 4 of Law No755-IV generally links paper registration to the entity’s oblast, the Autonomous Republic of Crimea, Kyiv or Sevastopol. Electronic registration is independent of location. Ministry of Justice orders provide exceptions to the paper rule.
Under Order No2179/5, entities located in Crimea, Donetsk, Chernihiv, Sumy, Dnipropetrovsk, Zaporizhzhia, Luhansk, Mykolaiv, Kharkiv or Kherson oblasts, or Sevastopol, can be registered independently of location. During martial law, confirm the chosen registrar’s authority and availability for the required operation. A directory listing alone does not confirm that every registration action is accepted.
Check the result
Review the EDR entry and registration statement, called a vypyska. Diia explains that the company’s EDRPOU identification code appears in the statement. The access code for retrieving registration documents is a different identifier. Keep the result and accompanying notification.
